Partner Program Terms

These Partner Program Terms (“Partner Terms”) govern your participation in the NPAmplify Partner Program (the “Program”). They form an agreement between you (“Partner” or “you”) and NPAmplify (“NPAmplify,” “we,” or “us”).

Our Terms of Use and Privacy Policy also apply. By applying to or taking part in the Program, you agree to these Partner Terms.

Definitions

In these Partner Terms:

  • “Attribution Window” means the period after a click on your Referral Link during which a new account can be credited to you, as set out in Section 2.
  • “Brand Assets” means NPAmplify’s name, logos, trademarks, screenshots, and marketing materials that we provide or approve for Partner use.
  • “Commission” means the amount payable to you for a Qualifying Referral under Section 3.
  • “Customer” means a practice, organization, or individual that holds a paid NPAmplify subscription.
  • “Net Revenue” means subscription fees actually collected by NPAmplify from a Qualifying Referral, minus taxes, refunds, chargebacks, credits, and discounts.
  • “Partner Dashboard” means the portal or report where we show your referrals, commissions, and payout status.
  • “Qualifying Referral” has the meaning given in Section 2.
  • “Referral Link” means the unique tracking link and/or referral code we assign to you.

1. Joining the Program

  • To join, submit an application. We may approve or decline any application at our discretion.
  • Once you are approved, you will get a unique referral link and/or code (your “Referral Link”).
  • You must give us accurate contact, payout, and tax information and keep it up to date. We cannot pay commissions until we have a valid tax form (for example, a W-9 or W-8).

2. Qualifying referrals

A “Qualifying Referral” is a new NPAmplify customer who meets all of these conditions:

  1. clicks your Referral Link or uses your referral code;
  2. creates a new account within 60 days of that click (the “Attribution Window”);
  3. starts a paid subscription and pays at least one invoice; and
  4. is not a current or former NPAmplify customer, is not already in an active sales conversation with us, and was not referred by another partner first.

Attribution: referrals are credited to the partner whose link was clicked most recently within the Attribution Window. If our tracking conflicts with yours, our records control.

3. Commissions

  • Rate. You earn a percentage of the Net Revenue we collect from each Qualifying Referral. Your commission rate, and how long commissions are paid on each Qualifying Referral, are stated in your Program approval email and shown in your Partner Dashboard.
  • Net revenue means amounts actually collected, minus taxes, refunds, chargebacks, credits, and discounts.
  • No commission is earned on:
    • add-on services, setup fees, or custom work, unless we agree otherwise in writing;
    • accounts that are refunded, charged back, or found to be fraudulent. We may reverse or offset commissions already paid on these accounts.
  • Holding period. Commissions become payable after a 30-day holding period, to allow for refunds.
  • Changes. We may change commission rates for future referrals with 30 days’ notice. A change does not reduce commissions already earned.

4. Payouts

  • We pay approved commissions monthly through our third-party payout provider, by the 15th of the following month.
  • Payouts are made once your balance reaches $50. Smaller balances roll over to the next month.
  • You are responsible for all taxes on commissions you receive.
  • If your account stays inactive and unpaid for 12 months, unpaid balances under the payout threshold may be forfeited. We will notify you first.

5. How you may promote NPAmplify

You may:

  • share your Referral Link on your website, newsletter, social media, podcast, courses, or in client work;
  • describe NPAmplify accurately, using the materials we provide or approve; and
  • use the NPAmplify name and logo only as shown in our brand guidelines.

You must:

  • clearly disclose your relationship with NPAmplify and that you may earn a commission, as required by the FTC Endorsement Guides (for example, “I earn a commission if you sign up through my link”); and
  • follow all applicable laws, including anti-spam laws (CAN-SPAM and TCPA) and any professional rules that apply to you.

You must not:

  1. bid on “NPAmplify” or any misspelling or variation of it in paid search or social ads, or use it in domain names or social handles;
  2. send unsolicited email, texts, or direct messages;
  3. make false or misleading statements about NPAmplify’s features, pricing, results, or compliance, including any claim that NPAmplify is “HIPAA compliant” or will guarantee patient growth;
  4. offer cash-back, rebates, or incentives that we have not approved;
  5. refer yourself, your own practice, or accounts you control, or create accounts to generate commissions;
  6. use cookie stuffing, forced clicks, misleading redirects, or any other deceptive tracking practice; or
  7. present yourself as an employee, agent, or official representative of NPAmplify.

6. Relationship of the parties

You are an independent contractor. Nothing in these Partner Terms creates an employment, agency, partnership, or joint venture relationship.

You have no authority to make commitments or representations on NPAmplify’s behalf.

7. Confidentiality

You may receive non-public information from us, such as roadmap plans, pricing, or customer information. You agree to keep it confidential and to use it only to take part in the Program.

You may not access or use any referred customer’s account data.

8. Intellectual property

We grant you a limited, revocable, non-exclusive, non-transferable license to use NPAmplify’s name, logos, and marketing materials, solely to promote NPAmplify under these Partner Terms. All goodwill from that use belongs to NPAmplify.

The license ends immediately when your participation ends.

9. Term and termination

  • These Partner Terms remain in effect until either party ends them.
  • You may leave the Program at any time by notifying us.
  • We may suspend or remove you from the Program at any time, for any reason.
  • If you are removed for breaching these Partner Terms, including fraud or prohibited promotion, all unpaid commissions are forfeited.
  • If you are removed for any other reason, we will pay commissions already earned on Qualifying Referrals made before termination, subject to Sections 3 and 4.
  • After termination, you must stop using your Referral Link and our brand assets.

10. Disclaimers and limitation of liability

The Program and all tracking are provided “as is.” We do not guarantee that tracking will be uninterrupted or error-free.

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • NPAMPLIFY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING FROM THE PROGRAM; and
  • OUR TOTAL LIABILITY UNDER THESE PARTNER TERMS WILL NOT EXCEED THE COMMISSIONS PAID OR PAYABLE TO YOU IN THE 12 MONTHS BEFORE THE CLAIM.

11. Indemnification

You will indemnify and hold harmless NPAmplify from any claims, losses, and expenses (including reasonable attorneys’ fees) that arise from:

  • your promotional activities;
  • your breach of these Partner Terms; or
  • your violation of any law or third-party right.

12. Changes to these Partner Terms

We may modify these Partner Terms at any time. We will give at least 15 days’ notice by email before material changes take effect.

If you keep taking part in the Program after changes take effect, you accept the modified Partner Terms.

13. General

These Partner Terms are governed by the laws of the State of Texas, and any dispute will be resolved as described in Section 16 (Dispute resolution and arbitration) of the NPAmplify Terms of Use.

If a provision is found unenforceable, the rest of these Partner Terms remain in effect. These Partner Terms, together with the Terms of Use and Privacy Policy, are the entire agreement regarding the Program.
